Thank you for using Legalspot products and services (the "Services" from now on). These are provided through Legalspot Technologies SpA (hereinafter referred to as "Legalspot"), whose registered office is located at Cerro el Plomo 5931, Las Condes, Santiago de Chile.
Our mission is to facilitate the relationship between the provider of legal or accounting services and its clients, by providing an intuitive and centralized platform or software that allows the organization, storage and access to the documents generated in the different procedures entrusted by the lawyers' clients, so that you, your collaborators and your clients have access to their documentation, anywhere in the world, working in a coordinated and synchronized manner.
The use of our services implies the acceptance of these conditions. In case you do not agree with the established conditions, as well as with the established arbitration clause contained in this contract, please do not use our services, as you are not authorized to do so. We recommend that you read this contract carefully.
We reserve the right to modify these Terms and Conditions, notwithstanding that we will inform you of any changes in our technology platform and/or terms and conditions of use, we recommend that you periodically review these terms and conditions. Your continued use of the site will signify your acceptance of any adjustment to these terms and conditions.
The Services are available only to individuals or corporations who can be contractually bound under applicable law.
1.1 You must follow the policies available through the services.
1.2 You must not use our Services inappropriately. For example, you must not interfere with the Services or attempt to access them using any method other than the interface and instructions provided by Legalspot. You may only use the Services to the extent permitted by law and the bylaws of your company or entity accessing the services of Legalspot. Likewise, in the contract for the provision of services that you sign with your clients, you must allow them to store their documentation on our platform. In no case will Legalspot be responsible for the fact that a client has not given his acceptance to store his documents.
1.3 We may suspend or cancel our services if you do not comply with our policies or conditions or if we consider that your conduct may be malicious.
1.4 The use of our services does not make you the owner of any intellectual property rights in the services or content you access. You may only use the content of our Services with the permission of your account administrator and you may only download it to the extent that the administrator grants you such permission.
1.5 These conditions do not give you the right to use the trademarks or logos owned by Legalspot. Do not remove, obscure or alter the legal notices displayed on our Services.
1.6 Our services display content and documents that do not belong to Legalspot. This content is the sole responsibility of the entity that has uploaded such files, in any format, to our servers or services.
1.8 In connection with the use of our Services, we may send you service notices, administrative messages and other information, such as payment information, for example. If you wish, you can deactivate any of these communications.
1.9 Some of our Services may be available on mobile devices. Please do not use those Services in a way that may distract you from complying with traffic or safety laws.
1.10 Changes to these Terms. The Site, the App, and other parts of the Services are owned and operated by Legalspot. Legalspot reserves the right to revise these Terms, including changes to your Rates, at your sole discretion, at any time. Legalspot will post the updated Terms on its Site and in its App. Any revisions to the Terms are effective upon posting. The Terms will be identified as having the most recent revision date. You should visit our website regularly to ensure your continued acceptance of these Terms. Notwithstanding the foregoing statements in this section, no revision to these Terms shall apply to any dispute between you and Legalspot arising prior to the date of such revision.
1.11 Legalspot may provide the services through its App, the Site, Third Party Sites, and any other means or channels now known or later developed. The Services may require you to agree to additional terms and conditions for your use or to enter into a digital service agreement.
2.1 To access our Services you will need a Legalspot account and a valid subscription from your credit card or your company if you have a paid account, which will not be required in the case of a free account. You agree to provide us with accurate, complete and current registration information about you. It is your responsibility to ensure that your password is confidential and secure. By registering, you agree that you are fully responsible for all activities that occur under your user name and password. We may assume that any communication we receive from your account has been made by you. If you are an administrator, or have confirmed in writing that you have the authority to make decisions on behalf of a Customer ("Administrator User"), you represent and warrant that you are authorized to make decisions on behalf of the Customer and agree that Legalspot is entitled to rely on your instructions.
2.2 There will be different types of accounts at Legalspot.
2.3 To protect your Legalspot account, you agree to keep your password confidential. You are responsible for the activity on your Legalspot account or through it. Try not to reuse the Legalspot password in other third party applications

4.1 We respect the intellectual property of others and ask you to do the same. We respond to notices of alleged copyright infringement if they comply with applicable law. We reserve the right to remove or disable content alleged to infringe copyright and to terminate the accounts of repeat infringers. Our designated agent for notice of alleged copyright infringement relating to the Services is:
4.2 Our Services allow you to upload, send, store or receive content, especially legal and accounting documents. If you do so, you will remain the owner of any intellectual property rights you may have in that content.
4.3 By uploading, storing or receiving content or submitting content to or through our Services, you grant Legalspot (and its contributors) a worldwide license to host and store such content. This license will continue to apply even if you cease to use our Services. You can always access the content you have provided to the Platform and remove it. In that case it will not be stored on our servers. The firm is obliged to have the necessary rights to license Legalspot store your information.
4.4 Our systems do not analyze your content, and it is kept encrypted in the Google Cloud Platform database located in Sao Paulo, Brazil. If you have an account with our Services, none of the information you provide to us will be disclosed to any third party and will be subject to our Privacy Agreement with you and will be governed by our data privacy policies.

5.4 In addition to any other remedies that may be available to us, Legalspot reserves the right to take such remedial action as it deems necessary, including the immediate deletion or termination of your account or your access to the Service or Websites, with prior notice and without liability to Legalspot if you fail to comply with the rules in this section or if, in its sole discretion, such action is necessary to avoid disruption of the Service or the Websites for other users. If you are a Subscriber, Legalspot reserves the right to notify the Customer Account Administrator(s) or other representatives of the Customer of any violation of these Terms.
6.2 Your files are yours, Legalspot does not take any ownership of your account files.
6.3 These Terms do not grant us any rights in Your files, except for the limited rights that allow us to provide the Services. We need your permission to take certain actions, such as hosting your files, creating backups and sharing them when you ask us to do so. Our Services also offer features such as commenting, sharing, searching, image thumbnails, document previews, optical character recognition (OCR), easy sorting and organizing, and customization to help you reduce your workload. By accepting these terms and conditions of service, you are giving us permission for the activities described above with respect to your files.
6.5 We respond to notifications of alleged copyright infringement and terminate the accounts of users who commit repeated violations of copyright and industrial property law, No. 19,039.
6.6 We seek to make it easier for copyright holders to manage their copyright online with their customers. If you consider that any user is infringing the copyright of your studio and you want to inform us about it, please send us an email email@example.com.
6.7 The content made available on or through the Services, including without limitation any text, software, graphics, photographs, sounds, music, videos and interactive features, but excluding User Content, may be protected by copyright or other intellectual property rights and their appropriate criminal and civil protection actions when owned by Legalspot, its shareholders, directors or contributors. No material made available on or through the Services may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way without written permission from the copyright or intellectual property owner.
6.8 Legalspot reserves the right to make modifications to copyrighted materials, including but not limited to services, User Content, as it deems appropriate for any other purpose, including, without limitation, any commercial purpose.
6.9 Any use of Legalspot intellectual property is strictly prohibited unless you have obtained express authorization from a legal representative of Legalspot Technologies SpA with sufficient powers for such purposes.
6.10 All rights to designs, databases and compilations and other intellectual property rights, whether registrable or unregistrable, and value-added or goodwill, that are part of our platform, are owned by Legalspot.
7.1 The Services are provided through our Website, and through our application that makes available a Dashboard, a service may also include a software that can be downloaded. Our software can be automatically updated on your device whenever there are new versions or functions.
7.2 Legalspot grants you a personal, worldwide, exclusive and non-transferable license to use our software when you purchase any of our services, in accordance with characteristics of the contracted plan. You may not copy, modify, distribute, sell or lend any part of our Services or the software included, nor may you apply reverse engineering techniques or attempt to extract the source code of such software.
7.3 Our software hosts its servers on the Google Cloud Platform server.
8.1 Legalspot is constantly changing and improving its Services. As a result, we may add or remove some functions or features, or suspend or cancel a Service altogether.
8.2 You may stop using the Services at any time by giving us 30 days notice by email. Similarly, Legalspot may terminate a customer's account if the customer fails to pay for a monthly subscription.
8.3 We believe that you are the owner of your data and that it is important to preserve your access to it. If we discontinue a Service, you will always be able to access it for 6 months after the discontinuation, for the purpose of deleting or downloading that information that you stored on our Servers. In any case, account cancellations will be made in cases where it is reasonable, and we will inform you well in advance.
9.1 Where permitted by law, neither Legalspot nor its partners or distributors shall be liable for loss of profit, revenue, data, financial loss or indirect, special, consequential, exemplary or punitive damages.
9.2 To the extent permitted by law, Legalspot's liability and that of its contributors for any claims made under these terms and conditions, including any implied warranties, is limited to the amount paid by the user for the license of Legalspot.
9.3 In no event shall Legalspot or its suppliers and distributors be liable for any loss or damage that is not reasonably foreseeable.
9.4 Legalspot acknowledges that you may have legal rights as a consumer, none of the provisions set out in these conditions or in the additional conditions shall limit the legal rights of the consumer which cannot be waived contractually.
10.1 In the interest of efficient dispute resolution, you and Legalspot. agree to establish a pre-negotiation period in respect of any action of at least 60 business days before commencing any action in an arbitration venue. To initiate the negotiation process, you must send a notice to firstname.lastname@example.org stating the possible actions that could be attempted against Legalspot and your individualization for the purpose of following up on the dispute. Within a period of 30 days from your request, you will obtain a response from us, initiating a pre-arbitration negotiation process.
10.2 During this pre-arbitration negotiation, all offers, promises, conduct and statements, whether oral or written, made during the course of the negotiations by any of the parties, their agents, employees and attorneys are confidential, privileged and inadmissible for any purpose, including as evidence of liability, in arbitration or other proceedings involving the parties.
10.3 If Legalspot is the initiator of this pre-arbitration negotiation process, you will be notified of it through your email provided through the user creation. If you do not keep your information updated and therefore do not receive an email, Legalspot. will not be responsible for delivering the corresponding notification.
10.4 The legislation applicable to this document is that of the Republic of Chile. For all legal effects, the city and commune of Santiago de Chile is established as domicile, submitting itself, to the Jurisdiction of its Ordinary Courts of Justice.
10.5 You and Legalspot. waive any class action in a potential class action, the judge may not consolidate the actions of more than one person, and may not otherwise hear any other class or representative proceeding. The Court has no jurisdiction to consider any action or remedy other than individual actions.
